Ryanair clears the way for BA to take over Aer Lingus

A merger between Aer Lingus and British Airways -- now headed by former Aer Lingus boss Willie Walsh -- was today being considered a real possibility by industry analysts as the Government considers selling off its stake in Aer Lingus.

The Cabinet was today due to consider proposals to sell its 25pc stake in the airline along with other State assets.

But the willingness by Aer Lingus' other major shareholder, Ryanair, to sell its share is fuelling talk of an Aer Lingus/British Airways merger.

Ryanair, which twice mounted bids to take over the national airline, said it was open to selling its share of just under 30pc.

The value of Ryanair's stake has fallen by more than €300m to about €100m since the shares were bought.

In a statement, Ryanair said: "Should another financially strong airline/investor acquire the Government's 25pc stake, Ryanair would not rule out entering into discussions with that party for the subsequent disposal of Ryanair's near-30pc stake subject to an acceptable agreement on price and maximising shareholder value."

The most likely buyer of Ryanair's share would be the airline group which already owns BA and Spanish airline, Iberia.

International Airlines Group has said it wants to lead consolidation in European aviation.

One big hurdle to such a purchase, however, would be the huge pension deficit in the Aer Lingus and Dublin Airports Authority (DAA fund), which stands at €344m.

Under the terms of the EU-IMF bailout, the Government must assess what State assets it can sell off.
Aer Lingus and the ESB are among the businesses set to be considered in a bid to raise a total of €5bn.

Ryanair will talk to Etihad about Aer Lingus shares

Ryanair has said it would be willing to talk to Etihad Airways about selling its 29.8% stake in rival Irish airline Aer Lingus if the Abu Dhabi carrier pushes ahead with its bid to buy the Irish Government’s stake in the national carrier, Arabian Business reports.

The Irish government is reported to be in discussions about selling its 25 percent stake in Aer Lingus to Etihad. In the event the deal is given the green light, a Ryanair spokesman said it would be willing to speak to Etihad about selling its shares.

However, Andrew Macfarlane, Aer Lingus’ chief financial officer, cast doubt on whether Ryanair would accept any offer to sell its stake. He said: ‘I'm not sure Ryanair will sell. They have been a bit inconsistent. We would prefer it if they are not on our register. It is not really appropriate to have your largest competitor as your largest shareholder.'

The Republic of Ireland, which owns 25 percent of Aer Lingus (Dublin), has publicly expressed its opposition to the takeover of Aer Lingus by rival Ryanair (Dublin). The European Commission will be the final judge on whether Ryanair can continue to acquire additional shares of Aer Lingus for a possible controlling interest. Ryanair currently controls 30 percent of Aer Lingus stock.

Ryanair issued the following “no comment statement”:

Ryanair said it has no comment to make on the Minister Varadkar’s statement. Since the Government owns just 25% of Aer Lingus, it has no power to block Ryanair’s offer, which can still be successfully completed if we acquire a shareholding of 50% or more (Ryanair currently owns 30%).

Aer Lingus Confirms Boeing 757 Deal to Boost Transatlantic Offering

Republic of Ireland national carrier Aer Lingus has confirmed it has reached an agreement to damp lease three Boeing 757-200s to expand its transatlantic activities during the first half of 2014. The aircraft will be acquired via Air Contractors and the first jet is expected to enter service in January 2014 with all three aircraft in operation by next summer. The details of the anticipated deal were revealed during the Aer Lingus Group interim management statement for the period from January 1, 2013 to March 31, 2013, representing the first quarter of the Group’s 2013 financial year.

The airline remains tight-lipped over its operational plans for the 757s and simply says they will operate in the North Atlantic market, but the expansion of a previous interline partnership with US low-cost carrier JetBlue Airways into a full blown codeshare agreement earlier this year will support its strategy in the US market. It is rumoured that the 757s will be based at Shannon Airport and will be used to expand the carrier’s existing offering, increasing the existing seasonal services to Boston and New York and potentially freeing up a larger Airbus A330-200 to operate from Dublin, where demand is stronger.

“The use of Dublin as a hub for connecting traffic flows and the partnerships in North America are giving us a lot of comfort that there is more growth in the market,” said Stephen Kavanagh, Chief Commercial Officer, Aer Lingus on a investors’ call announcing the carrier’s first quarter performance this week. “The 757 is a smaller-gauge aircraft and it is more flexible,” he added.
