Latvian government agrees rescue plan for national airline

RIGA, Sept 6, 2011 (AFP)

Latvia said Tuesday that its national flag carrier, airBaltic, would receive an injection of between 50 and 70 million lats (70-98 million euros) following a cabinet meeting to decide the airline's future.

The board of airBaltic, the Latvian national carrier, has announced that it has sold 59,110 shares of the company to an undisclosed buyer.
The shares were reportedly sold for EUR 9.6m, but the buyer will offer the other shareholders - the Latvian government and Baltijas Aviacijas sistemas - to use their rights of first refusal.

The 59,110 shares are the difference between airBaltic's registered and paid-in capital, which stands at LVL 59,110. The airline maintains that it has attracted the funding it needs in a critical moment.

The deal seems rather weird, considering that the shares are sold at a much larger price than their nominal worth. In fact, the price of the shares is much larger than the entire capital of airBaltic, which stands at LVL 0.53m.

The identity of the buyer has not yet been disclosed, either. This has fuelled rumours that Bertolt Flick, CEO of airBaltic and one of the owners of BAS, is trying to increase his own share in the company, possibly becoming a majority shareholder. On 15 September, the undisclosed buyer is to offer both the government and BAS an opportunity to use their right of first refusal. This would mean that the government would have to find EUR 10m in a very limited amount of time. It obviously would have trouble doing so, which would make BAS a much more likely - and willing - candidate for buying the shares.

To make matters more complicated, airBaltic has cancelled several flights to destinations such as Berlin, Brussels, Tallinn and Vilnius. The airline has not given any reason for the cancellation, and Riga International airport reports that even the airport has received no explanations. airBaltic promises that it will resume flying on schedule on 14 September.

One of the cancelled flights has left the President of Latvia Andris Berzins stranded in Brussels. This looks increasingly like power play on behalf of Flick, showing that keeping the President of Latvia grounded is well within his abilities.

airBaltic is in the middle of a major crisis, which started with allegations that the airline is suffering massive losses. These have now been confirmed, and the airline needs additional funding - which airBaltic claims to have attracted.

Earlier last week, the Ministry of Transportation announced that it has started an investigation against Flick for possible fraud.

Air Baltic files for protection amid row with Latvian govt

Struggling Latvian carrier Air Baltic has filed for legal protection in an attempt to enable it to continue operations despite its ongoing row with the Latvian government over a much-needed capital injection.

The airline, which has requested a Ls60 million ($115.8 million) bailout from Latvia's government - a 52.6% stakeholder in Air Baltic - said it has filed for legal protection in order to prevent the state from blocking any of the airline's decisions.

"For the past six months, the management of Air Baltic has informed about the necessity of a capital increase," said Air Baltic. "The government of Latvia as a minority shareholder in the airline has neglectfully and repeatedly delayed any decisions regarding the capital increase."

Latvia's government has said it is unwilling to inject any more capital into the airline unless chief executive Bertolt Flick steps down. Flick owns Baltijas Aviacijas Sistemas (BAS), which has a 47.2% stake in Air Baltic.

A spokesman for Latvia's prime minister said yesterday that BAS "has agreed to change the management of the airline and it appears Flick is leaving". But Flick today said that despite BAS agreeing to the government conditions, "the government again did not take a decision to participate in the capital increase of the airline, or to allow BAS to increase the capital unilaterally, but suddenly and surprisingly announced the potential sale of its shares in the airline".

Flick added that Air Baltic's management "will not change during the period of legal protection".

The Riga-based carrier has suffered considerable losses over the past year, despite a cash injection last year of Ls30 million, split between the Latvian government and BAS.

Air Baltic operates a fleet of 34 aircraft, comprising six Boeing 737-500s, eight Boeing 737-300s, two Boeing 757-200s, 10 Fokker 50s and eight Bombardier Q400s.

The airline could not be reached for comment.

AirBaltic (Riga) yesterday (September 21) filed for bankruptcy and the struggling carrier reorganizes.
Operations will continue.

The company issued the following statement:

“Latvian national airline airBaltic on September 21 is filing for legal protection to continue operations in its network of airports served in Europe, Middle East, and Russia/CIS.
For the past six months, the management of airBaltic has informed about the necessity of a capital increase. Baltic Aviation Systems (BAS), the private shareholder of airBaltic, has declared its willingness to cover the capital increase fully, or proportionally together with the government of Latvia. The government of Latvia as a minority shareholder in the airline has neglectfully and repeatedly delayed any decisions regarding the capital increase. In order to come out of a stalemate, the private shareholder BAS agreed to all government conditions on September 16. On September 20, the government again did not take a decision to participate in the capital increase of the airline, or to allow BAS to increase the capital unilaterally, but suddenly and surprisingly announced potential sale of its shares in the airline.

According to the procedure of legal protection in Latvia, the Board of airBaltic has submitted to the court a plan for continued operations, to be approved by the court. As a consequence, the Latvian government as shareholder will not be able to block any decisions in the airline. As part of the legal protection procedure, an Administrator is nominated, to be approved by the court and to be responsible for the legal protection plan that all parties have to follow, including the shareholders, the management, and the Supervisory Board. The management of airBaltic will not change during the period of legal protection, and all the creditors of the carrier will receive the outstanding debts.

The Board of airBaltic will continue operations of the airline. Should the airline be forced to make any cancellations, we will inform our passengers by separate notice as early as possible. We apologize to our passengers for any potential future inconvenience!

The Board of airBaltic is currently in negotiations with all the stakeholders of the airline. All of them, except the government of Latvia, are ready to support the airline in the future. The legal protection plan, approved by the court, must be obeyed and will help to overcome the blockage created by the government of Latvia as a minority shareholder.”

airBaltic Shareholders agree to inject over EUR 150 million

Today the shareholders of Latvian national airline AirBaltic agreed in their meeting to finalise technical details until October 4 for the injection of EUR 153 million in new capital financed by its two main shareholders, the Latvian government and Baltic Aviation Systems (BAS).

It was announced this Tuesday that the government of Latvia and BAS reached agreement and would jointly inject the capital into airBaltic. The Latvian government will secure EUR 81.9 million (LVL 57.6 million), while the private investor BAS will secure EUR 71.1 million (approximately LVL 50 million).

Today’s shareholder meeting has taken a formal pause and will continue on October 4 to finalize the capital increase, after the technical details are fully agreed by the shareholders.

C'est vraiment dommage pour cette compagnie, le concept est intéressant l'âge des machines (733, 735 et 752) est peut-être une raison parmi de nombreuses autres ? Riga est la plus importante ville des pays baltes, avec toutefois une chute constante la population comme souvent dans les ex-pays satellites de l'URSS.

Je suis passé à Riga pour une correspondance sur un vol Helsinki-Riga-Paris, j'ai été marqué par le nombre d'avions de la compagnie au sol en maintenance ou stationnement longue durée sur l'aéroport... Le problème pourrait aussi venir de là...

Une nouvelle commande de moyen-courriers CSeries a été dévoilée lors du salon aéronautique de Farnborough le 10 juillet.

Il s’agit d’une lettre d’intention (LoI) signée par la compagnie européenne airBaltic portant potentiellement sur 20 appareils CS300, 10 exemplaires étant pour l’instant au stade des droits d’achat. Ce nouveau contrat est la seconde commande de CSeries signée par Bombardier en moins de 2 jours.

Le CS300 est la seconde version du CSeries, capable de transporter jusqu’à 145 passagers dans une cabine monoclasse densifiée.

Cette commande est estimée à 764 millions de dollars au prix catalogue de Bombardier, sans prendre en compte les droits d’achat sur les appareils supplémentaires.

Martin Gauss, le PDG de la compagnie basée à Riga a précisé que ces nouveaux appareils allaient progressivement remplacer sa flotte moyen-courrier actuelle à partir du 1er trimestre 2015, les livraisons des 10 premiers s’étalant jusqu’en 2017.
La compagnie balte pourra également remplacer certains des CS300 commandés par des CS100 selon Martin Gauss.

airBaltic a, par ailleurs, ajouté que sa flotte ne serait pas constituée uniquement d’appareils de l’avionneur canadien, la compagnie envisageant une nouvelle commande pour des appareils de type 737-800.

Cette commande d’airBaltic porte désormais à 352 le nombre total d’appareils en commande et engagements pour la famille CSeries.

Le ministère des Transports letton a annoncé la mise en vente de 50% moins une action d’airBaltic dans les éditions européennes du Financial Times. Les candidats ont jusqu’au 1er novembre pour manifester leur intérêt.

Le gouvernement détient 99,8% de la low-cost depuis novembre 2011.

AirBaltic a publié 32 millions d’euros de pertes au premier semestre 2012. Son CEO, Martin Gauss, estime toutefois qu’il s’agit d’une belle amélioration par rapport à 2011, puisqu’elle avait publié 100 millions ...

Comme évoqué dans le sous forum aéroport Genève, mais il s'agissait de la suspension des vols d'Air Baltic sur GVA, pendant la saison estivale, la compagnie va baisser la voilure pour toute la saison été 2020 et va opérer quasiment 50% de son programme pendant toute la saison estivale. Il y a de fortes chances que d'autres suivent. Et que visiblement, il y a des gens qui doivent encore annuler leur voyages, pour les semaines, voir les mois à venir
